Acceptance of Terms

By accessing https://cyclopps.com/, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you are entering into this agreement on behalf of a business, you represent that you have the authority to bind that entity.

Independent Contractor Status

The relationship between Cyclopps and its partners (Publishers or Lead Buyers) is that of independent contractors. No agency, partnership, or joint venture is created by the use of this Site.

Prohibited Conduct

Users and partners are expressly prohibited from:

• ● Generating leads through fraudulent, automated, or bot-generated methods.
• ● Using incentives (prizes, cash, or "free" items) to entice lead submissions without prior approval.
• ● Transmitting "Prohibited Content," including material that is defamatory, obscene, or infringes on intellectual property rights.
• ● Engaging in unauthorized "Live Transfers" or using unapproved ad copy.

Intellectual Property

All "Advertising Assets," West Shore Code, and IP provided through our platform remain the exclusive property of Cyclopps or its respective owners. You are granted a limited, revocable license to use these materials solely for the purpose of performing under an active Insertion Order.

Limitation of Liability

In no event shall Cyclopps be liable for indirect, incidental, or consequential damages, including loss of anticipated profits. Our total cumulative liability is limited to the fees paid during the preceding six-month period.

Governing Law

These terms shall be governed by the laws of the State of Delaware (or California, as specified in your Lead Buyer agreements). Any disputes shall be resolved via final and binding arbitration.
